Partner Agreement

Effective: August 2026

This Cendpadi Partner Agreement ("Agreement") governs the relationship between Cendpadi ("Company", "we", "us") and you ("Partner", "Rider") as an independent delivery partner on the Cendpadi platform. This Agreement is incorporated into and forms part of our Terms of Service. By registering as a rider on the Cendpadi platform, you agree to be bound by this Agreement.

I. General

This Agreement, together with the Cendpadi Terms of Service and all associated policies, governs the relationship between Cendpadi and Partner, as well as Partner's performance of delivery services via the Cendpadi platform.

Cendpadi operates a logistics management platform that connects users who need package delivery with independent riders who provide those services. Cendpadi is a technology platform, not a transportation carrier or logistics company.

II. Delivery Services

Partner acknowledges that they are engaged in their own independent business, separate from Cendpadi's business. Cendpadi provides a platform that presents delivery opportunities ("jobs") to Partners. Partner has full discretion as to whether to accept any job, and Cendpadi has discretion as to which jobs to offer any particular Partner.

  • Nothing in this Agreement guarantees Partner any particular volume of business or income.
  • Once a Partner accepts a delivery job, they are contractually bound to complete it in accordance with all sender instructions and this Agreement.
  • Partner has the right to cancel an accepted job when, in their reasonable discretion, it is appropriate to do so. However, repeated cancellations may result in lower ratings and account suspension.
  • Partner must have the Cendpadi rider app running and must not disable location tracking at any time while performing a delivery.
  • Partner does not report to any supervisor or employee of Cendpadi.
  • Partner is not required to wear any Cendpadi uniform or display any Cendpadi branding on their vehicle.
  • Partner is free to perform delivery services for other platforms or businesses at any time, including competitors, even while logged into the Cendpadi platform.
  • Partner is not required to purchase or rent any equipment from Cendpadi as a condition of this Agreement.
  • If a Partner fails to complete a delivery due to their own action or omission, they may forfeit all or part of the agreed fee for that job.

III. Partner Representations & Warranties

Partner represents that they operate an independently established business and meet all legal requirements to perform delivery services. Partner additionally agrees to:

  • Maintain a roadworthy motorcycle in good operating condition at all times.
  • Possess a valid driver's licence and all permits required by Nigerian law to operate a motorcycle commercially.
  • Complete all Cendpadi KYC requirements, including submission of NIN, driver's licence, and bike details, before accepting deliveries.
  • Perform delivery services in a timely, safe, and lawful manner.
  • Treat all users, recipients, and third parties with respect and professionalism.
  • Not smoke, consume alcohol, or use any controlled substance during or immediately before performing a delivery.
  • Not carry any personal weapon or firearm when picking up or dropping off packages.
  • Not enter any recipient's home, or access any secure or private areas, under any circumstances.
  • Not be accompanied by minors during deliveries.
  • Not accept deliveries containing items Partner knows or suspects to be prohibited or illegal.
  • Maintain strict confidentiality of all personal information of users, recipients, and third parties encountered through the platform.
  • Immediately notify Cendpadi at cendpadi@gmail.com of any incident, accident, or complaint arising during a delivery.

IV. Location Tracking

Background Location. As a Partner using the Cendpadi rider application, you acknowledge and agree that Cendpadi may collect and track your location information using GPS and other location-based technologies while the application is running in the foreground or background.

Location data is collected continuously while you have an active or assigned delivery in order to:

  • Provide real-time tracking to the user or sender.
  • Calculate accurate delivery routes and estimated arrival times.
  • Confirm successful pickup and delivery of packages.
  • Resolve disputes relating to delivery completion or location.

You will be notified within the app when background location tracking is active. You may end a delivery session at any time, which will stop background location collection. Cendpadi will not share your location data with third parties except as described in our Privacy Policy and as necessary to facilitate deliveries.

V. Relationship of Parties

The parties acknowledge and agree that this Agreement creates the relationship of principal and independent contractor, not that of employer and employee. Partner and Cendpadi are not employees, agents, joint venturers, or partners of each other for any purpose.

Cendpadi shall not withhold income tax, pension contributions, or any other statutory deductions on behalf of Partner. Partner is solely responsible for filing and paying all applicable taxes on income earned through the platform.

Cendpadi does not provide workers' compensation insurance, health insurance, or any other employment benefit to Partners.

VI. Payment for Services

Partner will receive payment per delivery job satisfactorily completed. Payment is made to Partner's registered wallet or bank account on the Cendpadi platform. Cendpadi reserves the right to withhold payment for any delivery where there is a dispute, suspected fraud, or confirmed violation of this Agreement.

Partner's payment will not be released until delivery is confirmed as completed. Cendpadi may offer bonuses or incentives for deliveries completed in specific areas or time windows; Partner is free to accept or decline such opportunities.

VII. Equipment & Expenses

Partner represents that they have or can lawfully acquire all equipment necessary to perform delivery services, including a roadworthy motorcycle. Partner is solely responsible for all costs and expenses arising from their performance of delivery services, including fuel, maintenance, and repairs.

Partner is solely responsible for ensuring their vehicle conforms to all safety, equipment, and inspection laws applicable in Nigeria.

VIII. Insurance & Permits

As a condition of this Agreement, Partner must at all times maintain valid insurance coverage as required by Nigerian law to operate a motorcycle commercially, as well as all required licences and permits. Cendpadi does not provide or pay for any insurance on behalf of Partners.

Partner agrees to provide copies of current insurance certificates, permits, and licences upon request. Cendpadi reserves the right to suspend a Partner's account if valid insurance or licences cannot be confirmed.

IX. Account Suspension & Appeals

Cendpadi may temporarily suspend or permanently deactivate a Partner's account for:

  • Breach of this Agreement or the Cendpadi Terms of Service.
  • Failure to maintain required documentation, insurance, or roadworthy equipment.
  • Repeated cancellations or poor customer ratings.
  • Confirmed theft, fraud, harassment, or assault.
  • Transporting prohibited items.
  • Disabling location tracking during an active delivery.

Certain deactivations (theft, fraud, assault, sexual misconduct) are not eligible for appeal. Other decisions may be appealed once by contacting us at cendpadi@gmail.com. All appeal decisions are final.

X. Indemnity & Limitation of Liability

Partner agrees to indemnify, protect, and hold harmless Cendpadi, its officers, directors, agents, and employees from any and all claims, losses, damages, fines, settlements, and expenses arising directly or indirectly from: (i) Partner's breach of this Agreement or the Terms; (ii) violation of any applicable law; (iii) Partner's ownership, use, or operation of any vehicle during delivery services; (iv) failure to maintain proper insurance, licences, or permits; and (v) any act or omission causing harm to a user, recipient, or third party.

Cendpadi's liability to Partner shall in no event exceed the total fees paid to Partner in the six (6) months immediately prior to the date a claim arose. Cendpadi shall not be liable for any indirect, punitive, incidental, or consequential damages.

XI. Miscellaneous

This Agreement and the Cendpadi Terms of Service constitute the entire agreement between the parties with respect to its subject matter. If any part of this Agreement is found to be unlawful or unenforceable, the remainder shall remain in full force and effect.

Cendpadi may update this Agreement at any time. Partners will be notified of material changes via the app. Continued use of the platform after such notification constitutes acceptance of the revised Agreement.
